Elon Musk’s Bold $97.4 Billion Bid for OpenAI Faces Stiff Resistance

Elon Musk has made a striking offer to purchase OpenAI's nonprofit arm for a staggering $97.4 billion. The proposal, presented through Musk's AI company, xAI, and a consortium of investors, seeks to halt the organization's transition to a for-profit entity. However, OpenAI's Board of Directors has dismissed the unsolicited bid, affirming that the nonprofit is "not for sale." Musk's offer is contingent upon the Board preserving the charity's mission and ceasing its conversion to a for-profit corporation. If these conditions are met, Musk has indicated his willingness to withdraw the offer.

OpenAI was originally founded as a nonprofit organization before adopting a "capped-profit" structure in 2019. This structure allows the nonprofit to remain the controlling shareholder of the capped-profit OpenAI corporation. Musk's current legal action argues that OpenAI's conversion to a for-profit corporation contravenes its mission as a charitable trust. The lawsuit, which is being litigated in the U.S. District Court for the Northern District of California, accuses OpenAI and its CEO, Sam Altman, of engaging in anticompetitive behavior and fraud.

Musk's intentions to acquire OpenAI appear to be an attempt to undermine a competitor while simultaneously safeguarding what he perceives as the charity's original mission. His lawsuit contends that the conversion to a for-profit model would breach this mission.

In response, OpenAI's Board maintains that Musk's bid "doesn't set a value for" the nonprofit. Andy Nussbaum, representing the Board, emphasized this point while reiterating that OpenAI's assets are not on the market.
